Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you (“you,” “your,” or “Customer”) and Cemetery Tools, LLC (“Cemetery Tools,” “we,” “us,” or “our”) governing your access to and use of our websites, applications, and related software and services (collectively, the “Service”). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization (for example, a cemetery, association, or company), you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

Cemetery Tools provides subscription-based software for cemetery operators, including tools that use artificial intelligence to surface information from publicly available cemetery board records, regulations, and related materials. We may add, change, or remove features over time.

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information when registering and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at julian@cemeterytools.com of any unauthorized use.

• Subscription plans.Access to the Service is sold as a recurring subscription (the “All-Access Membership”) billed at the price and interval (e.g., monthly) shown at checkout.
• Automatic renewal. Your subscription automatically renews at the end of each billing period at the then-current price until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis.
• Cancellation.You may cancel at any time from your account’s billing settings. Cancellation takes effect at the end of the current billing period, and you will retain access until then. We do not provide prorated refunds for partial periods except where required by law.
• Price changes. We may change subscription prices. We will provide advance notice, and changes apply to the next billing period after the notice.
• Taxes. Prices are exclusive of applicable taxes, which you are responsible for unless otherwise stated.
• Failed payments. If a charge fails, we may retry, suspend, or terminate your access until payment is resolved.

We may offer introductory free periods or trials. Unless we state otherwise: (a) a free trial is available only to first-time members; (b) if a payment method is collected at signup, your subscription will automatically convert to a paid subscription and you will be charged at the standard price and interval when the trial ends, unless you cancel before then; and (c) if no payment method is collected, access will end when the trial expires unless you add a payment method and subscribe. We may modify or discontinue trial offers at any time.

Payments are processed by third-party payment processors (such as Stripe). We do not store full payment card numbers. Your use of payment features is subject to the processor’s terms and privacy policy, and you authorize us to share information with the processor as needed to complete transactions.

You agree not to:

• use the Service in violation of any law or regulation;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• reverse engineer, scrape, resell, or create derivative services from the Service except as permitted by law;
• upload or transmit malicious code, or interfere with the Service’s operation or security;
• use the Service to harass, abuse, or harm others, or to submit unlawful, infringing, or confidential information you are not authorized to share.

You retain ownership of the information, questions, and other materials you submit to the Service (“Customer Content”). You grant us a worldwide, non-exclusive license to host, process, and use Customer Content as necessary to provide, secure, and improve the Service. You are responsible for ensuring you have the rights to submit Customer Content and that doing so does not violate any law or third-party rights.

The Service uses artificial intelligence to generate responses, which may be incomplete, inaccurate, or out of date. Output is provided for informational purposes only and is not legal, regulatory, financial, or professional advice. The Service is not a substitute for consultation with a qualified attorney or professional, and it does not create an attorney-client relationship. You are solely responsible for independently verifying any information before relying on it.

The Service, including its software, design, text, and trademarks, is owned by Cemetery Tools or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your internal business purposes. All rights not expressly granted are reserved.

The Service relies on third-party providers (for example, payment, AI, email, hosting, and database providers) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them may be governed by their own terms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEMETERY TOOLS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Cemetery Tools and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your Customer Content, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Cemetery Tools is a United States–based service. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, any claim must be brought on an individual basis and not as part of a class action.

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new “Last updated” date or by email). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
